Confidentiality Form

THIS CONFIDENTIALITY AGREEMENT is made by and between HLM Associates, LLC, a Virginia limited liability company, whose address is 200 Pendleton Lane, Strasburg, Virginia 22657 (the "Company"), and the employee whose name, signature and date appears below.
Employee recognizes that during the course of employment with the Company, they will have access to certain confidential information and materials of the Company, including, but not limited to, customer lists and customer contacts, formulas, methods, techniques, equipment, models, drawings, costs, sales, sales volume or strategy, pricing, profitability, marketing strategy, salesmen and locations, backlogs, business development activities, and any other information concerning the work of the Company which is proprietary in nature and constitutes valuable trade secrets or confidential information (collectively referred to as "Confidential Information and Materials"). The employee acknowledges that all Confidential Information and Materials to which they will have access or which they have learned during their employment has been disclosed solely by virtue of employment with the Company and solely for the purpose of assisting and performing duties for the Company or its clients or customers, and acknowledges that all of the Confidential Information and Materials shall be deemed a trade secret. During employment with the Company, the employee shall not retain or make copies of, disclose, convey, transfer, or sell to anyone outside the Company, use or remove from the office of the Company or its Clients, any Confidential Information and Materials, except when required by his duties for the Company, and authorized by the Company. Upon termination of employment with the Company, the employee shall not use for any purpose whatsoever, disclose or retain any of the Confidential Information and Materials and shall not take with him any products or things containing any Confidential Information and Materials or any originals or copies thereof. Additionally, the employee shall not convey, transmit, communicate, transfer or sell to any person any of the Confidential Information and Materials by copies or otherwise.
At any time during employment with the Company or at any time subsequent thereto, the employee shall not, without the Company's prior written consent, disclose, directly or indirectly , to any person outside the Company any information or materials relating to the Company's or its Client's Confidential Information and Materials. All materials developed by the employee, for the Company and/or its Clients, during their employment with the Company, are the sole property of the Company. Immediately upon termination of employment, the employee shall return to the Company all tangible Confidential Information and Materials, notes, memoranda, writings, lists, files, reports, contracts, advertising materials, manuals , correspondence, tapes, discs, software and other tangible information which the employee produced, received, developed, possessed or otherwise had access to while a member of the Company. The employee shall not retain copies of any of the above. The parties agree that this Agreement shall be governed by the laws of the Commonwealth of Virginia. Nothing contained herein shall be construed to be a contract of employment for any definite term, nor shall it confer upon Member the right to continue in the employ of Company in any capacity. By way of signature below, the employee acknowledges that violation of this Agree shall be grounds for disciplinary action, up to and including termination of employment with the Company. Employee acknowledges that he has had the opportunity to have this Agreement reviewed by legal counsel of Member's choosing. Employee agrees that he/she has read this Agreement, understands its terms and is entering into this Agreement intelligently and voluntarily as a condition of employment.
